The tZERO SPAC merger agreement, signed on 31 October 2026 with FG Imperii Acquisition Corp., values tZERO at $350 million before new money and would list the combined company on NYSE American as TZRO, according to Neighborhood Intelligence, which owns about 38% of tZERO. Fintechbits checked FG Imperii’s SEC filings: the blank-check company placed $227,500,000 in its trust account when its IPO closed in January 2026, about 65% of the $350 million pre-money value put on tZERO, and shareholder redemptions before closing come out of that sum (FG Imperii 8-K/A).

What the tZERO SPAC Agreement Says

Neighborhood Intelligence, the company formerly called Bed Bath & Beyond, Inc., announced on 2 November 2026 that it had signed a stockholder support agreement committing its stake to vote for the deal. Its executive chairman and chief executive, Marcus Lemonis, said: “We believe this transaction represents an important next step for tZERO and its future growth.”

Under the tZERO SPAC terms, existing tZERO shareholders, Neighborhood Intelligence included, are expected to roll all of their equity into the combined company. Of the $350 million valuation, $25 million is realised only if specified milestones are met, and the release does not say what those are.

The tZERO SPAC deal is expected to close in early 2027. It needs approval from shareholders of both tZERO and FG Imperii, regulatory approvals, an effective Form S-4 registration statement and NYSE American’s approval of the listing.

The Trust Is the Real Constraint

FG Imperii sold 22,750,000 units at $10.00 in January 2026, including a partial over-allotment, and put $227.5 million into trust. In a SPAC, public shareholders can redeem their shares for that cash instead of taking stock in the merged company, and the release itself lists “the amount of redemption requests” among its risk factors.

That matters because the tZERO SPAC delivers only the cash left after redemptions. If most FG Imperii holders redeem, as happened in many SPAC deals from 2022 onward, tZERO lists with far less than $227.5 million of new capital and with a shareholder base dominated by insiders who rolled their equity. The release mentions no PIPE or backstop financing.

Why a Public Listing Is the Test tZERO Has Needed

tZERO, which describes its business as regulated digital-asset infrastructure, has spent years with a retailer as its largest shareholder. A listing through the tZERO SPAC would give it a public price and public disclosure, the honest test of whether its trading and tokenization business works at this size.

The timing is reasonable. Tokenization has moved from pilots toward production at large incumbents: Fintechbits covered DTCC switching on tokenized securities for 20 participants, and Fintechbits’ industry roundtable on tokenisation found real activity in collateral and settlement. That is good for the category and a challenge for a small specialist, because the incumbents are building the rails themselves.

The tZERO SPAC valuation is modest, which cuts both ways. $350 million is small for a listed market infrastructure company, so the upside is real if volumes grow. It also tells you how the sponsor and the largest holder value tZERO after years of development.

What to Watch Next

The Form S-4 that FG Imperii must file with the SEC is the next document to read. It should disclose any minimum cash condition, any PIPE commitments, tZERO’s audited financials and what the $25 million in milestone payments depends on. After that, the redemption figure ahead of the FG Imperii shareholder vote will show how much of the $227.5 million trust tZERO actually receives.
